David has over a decade of experience in the finance industry, and has counseled financial firms, individual investors, buyers, sellers, and others in evaluating and negotiating complex transactions. He is frequently engaged as special counsel to issue opinion letters for transactions governed by New York law.
He has also worked extensively with cutting-edge technology companies large and small, including startups, and has significant knowledge of a broad class of disciplines, including computer science, mechanical and electrical engineering, and life sciences.
David has assisted companies by establishing their business, building and maintaining capitalization tables, advising on investment at various rounds of funding and financing, drafting intra-company contracts and policies (e.g. employment and non-disclosure/confidentiality agreements, partnership and LLC operating agreements), and dealing with vendors, buyers, and other third parties.
David earned his J.D. from the Benjamin N. Cardozo School of Law with a Concentration in Intellectual Property Law, and is a proud alum of the University of Hawai'i, where he earned a B.A. in Political Science. His is admitted to practice in New York and New Jersey, as well as before the US Patent and Trade Office (Reg. #69694).
Noam works on all aspects of Trusts & Estates, including estate planning, probate, and administration. Noam develops and implements sophisticated and customized estate plans for individuals and families of varying wealth and backgrounds, including high net-worth, and represents and counsels individuals and families throughout the probate and administration of estates and trusts. He has experience with both domestic and international estate and probate issues. Noam also prepares estate and gift tax returns.
Noam’s real estate practice focuses on both residential and commercial real estate. On the commercial side, he is regularly engaged as special counsel to issue legal opinion letters for transactions, including sophisticated refinances, purchases, and defeasance transactions. Noam also represents buyers and sellers of residential (condo, coop and single family) real estate, and actively counsels clients on their acquisition and asset management needs.
Prior to joining K&S LLP, Noam was an attorney at two boutique trusts & estates law firms in Manhattan.
Noam is presently a member of the UJA Trusts & Estates Group and serves as co-chair of the Cardozo Alumni Association’s Trusts & Estates Group. Previously, he served as a member of the New York City Bar Association Trusts, Estates and Surrogate’s Court Committee. Noam has lectured on a variety of trust and estate topics before several organizations and groups, including the New York State Bar Association.
Noam earned his law degree from the Benjamin N. Cardozo School of Law with a focus on tax law and is admitted to practice law in the state of New York.
